Tesla said Wednesday it will ask shareholders to reinstate CEO Elon Musk's $56 billion pay package, which a Delaware judge voided earlier this year after ruling that the record-setting compensation deal was "deeply flawed." Facing criticism that it is overly beholden to Elon Musk, Tesla’s board of directors said on Wednesday that it would essentially give him everything he wanted, including the biggest pay package in corporate history. If setbacks in court and the car market have induced any soul searching among Tesla’s board, there was no sign of it in the latest announcement. If anything, the board doubled down on backing Mr. Musk, Tesla’s chief executive, risking riling up activist investors and more litigation. The board’s decision to ask shareholders to endorse a compensation plan for Mr. Musk that is worth about $47 billion came less than three months after a Delaware judge voided the same pay package. In addition, Mr. Musk has not presented much of a plan to restore the company’s momentum.

Chains owned by publicly traded restaurant companies accounted for half of the top 10 fastest-growing retail brands in the U.S. last year, according to a new Yelp report. Of the 50 fastest-growing chains in Yelp's report, 35 were restaurant brands. Jack in the Box, First Watch and Dutch Bros were among the public restaurant chains included in the report, but they didn't crack the top 10. Popeyes' higher sales have encouraged franchisees to open more locations and led new operators to join the brand, Restaurant Brands executives have previously said. Tesla might be facing another difficult quarter, Baird analysts warn. The carmaker reported a drop in its delivery numbers for the first time since 2020 last week. "We think Q1 results will be messy due to several one-time items and continue to believe Q2 estimates are likely still high," Kallo wrote, according to MarketWatch. "We speculate Tesla likely unveils both a robotaxi and a $25k vehicle," Kallo wrote. Tesla's stock dipped more than 5% on the day the delivery numbers were released and it's down more than 29% year to date.

CNN —A Powerball ticket sold in Oregon has won the nearly $1.33 billion jackpot – the fourth-largest jackpot in the history of the game, according to Powerball. It’s now the eighth largest among US lottery jackpot games, Powerball said in a news release. The jackpot was previously won on New Year’s Day when a ticket in Michigan scored an $842.4 million jackpot. The largest Powerball jackpot – and the largest US lottery prize – ever won was $2.04 billion by a ticket purchased in California in November 2022, according to the lottery. Winning the Powerball jackpot means a ticket matched all five white balls plus the red Powerball.

House Republicans are pushing back on the refutation. “I’ve made a document production in conjunction with the grand jury investigation,” Morris testified in his closed-door interview with Republicans conducting the inquiry in January. Republicans have raised questions about why Morris lent the president’s son millions of dollars and have sought to connect him to their impeachment inquiry into President Biden.

Sanofi has reached an agreement in principle to settle 4,000 US lawsuits linking the discontinued heartburn drug Zantac to cancer, the company said on Wednesday. Sanofi still faces about 20,000 lawsuits over Zantac in Delaware state court. That judge concluded that the opinions of the plaintiffs’ expert witnesses that Zantac can cause cancer were not supported by sound science. “We are pushing forward aggressively against GSK and Boehringer Ingelheim and are preparing for multiple trials in California state court this year,” Moore said. Lawsuits began piling up from people who said they developed cancer after taking Zantac.
